Terms & Conditions

These conditions apply to all sales of goods by Dextra Laboratories (The Seller) to any Purchaser (The Buyer) and shall prevail over and apply to the exclusion of any terms or conditions referred to in the Buyer’s order or correspondence.

Ordering. Orders may be placed by mail, fax, phone, e-mail or using our online ordering system to the address on Page 2. We will only accept orders for chemicals from Registered Companies, Universities and Colleges, Research Institutes, Hospitals, Government Agencies, Bone Fide Traders and Agents. Orders should be accompanied by a delivery and invoicing address and wherever possible with a Purchase Order Number. We cannot supply individuals at private addresses.

Products. Our products are supplied solely for use in the laboratory by experienced and qualified personnel. They are not intended for human consumption, in particular they are not for nutritional and drug use. Our payment terms are 30 days from the date on the invoice. Payment may be made by cheque in Pounds Sterling, Euro or US Dollars or by electronic transfer. Where payment is made by electronic transfer we will not accept deduction of the customer’s own bank charges. Where payment is made in a currency other than that quoted on the invoice, we will only accept the rate of exchange quoted that day in the Financial Times or Wall Street Journal.

Prices. The prices payable for the goods shall be those contained in the Seller’s price list current at the time of despatch. The Seller shall have the right at any time to withdraw any discount from its normal prices and/or revise prices to take into account increased costs including any tax, duty or levy and any variation in exchange rates. Quotations are valid for 30 days from the date on the quotation. Prices for orders placed after this period must be re-confirmed by the customer.

Our prices are quoted net of Value Added Tax (VAT, TVA, Mehrwersteuer etc.). Orders within the United Kingdom will be charged VAT at the standard rate unless the order is accompanied by a copy of a VAT Exemption Certificate. Orders from countries within the European Union will be charged VAT unless the order is accompanied by the customer’s VAT Registration Number. Customers in countries within the European Community Preference Group will also pay a lower or nil rate of import customs duty on our products.
Duties and taxes chargeable in other countries outside the European Union are the responsibility of the customer.

Data Sheets. All orders despatched will be accompanied by product data sheets. The specifications, and particulars of physical properties are approximate only and the seller shall have no liability for any deviation from this. The seller accepts no liability for any errors, omissions or any defects in product data sheets.

Shipping. Small orders will be sent by mail or registered mail. Most orders will be sent by international registered courier. The courier charges will be added to the invoice. Customers may opt to pay courier charges using their own account by supplying the account number and any other relevant details.
The Buyer shall meet the cost of any special packaging requested by the Buyer for any packaging rendered necessary for delivery by any means other than the Seller’s normal means of delivery.

Storage. Our products are sold as freeze dried or crystalline solids or more rarely as frozen solutions. The physical form is specified on the product data sheet. Most products are stable for some weeks at ambient temperature, provided they are not opened and the seal is not broken. We do recommend that all products are stored frozen at –15 to -20 degrees Celsius upon receipt and that they are allowed to warm to room temperature before opening. If made up into solution they should not be repeatedly frozen and thawed. If required, stock solutions should be prepared in appropriate aliquots and stored frozen until required.

Availability. Some products require lengthy re-make periods and sometimes are derived from raw materials which have uncertain or intermittent availability. They may therefore be unavailable for considerable periods of time. If the seller has insufficient stocks to meet all its orders the Seller may apportion available stocks between its customers at its sole discretion.

Governing Law. This contract shall be governed in all respects by the law of England and the parties hereby submit to the jurisdiction of the English Court.
